1. Introduction and Scope

These General Terms of Use (the “Terms”) govern your access to and use of the Investra platform, including our websites, mobile applications and related services (together, the “Platform”), operated by Investra International Ltd, a company registered in England and Wales with its registered office at 128 City Road, London EC1V 2NX, United Kingdom (“Investra”, “we”, “us”).

By creating an account, accessing or using the Platform you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform. Where you use the Platform on behalf of a legal entity, you represent that you are authorised to bind that entity, and “you” refers to that entity.

Certain features of the Platform — including property bookings, partner programmes and investment-related content — are subject to additional terms which supplement these Terms. In the event of conflict, the additional terms prevail for the relevant feature.

2. Definitions

“Account” means the personal or corporate account registered with the Platform; “Content” means all text, images, data, listings, valuations and other materials made available through the Platform; “Listing” means a property or investment opportunity presented on the Platform; “Market” means a geographic market in which the Platform operates, including member states of the European Union and the Turkish Republic of Northern Cyprus (TRNC).

References to legislation include that legislation as amended or re-enacted from time to time, and any subordinate legislation made under it.

3. Eligibility and Account Registration

You must be at least 18 years of age and have full legal capacity to enter into binding contracts to use the Platform. When registering, you must provide accurate, current and complete information and keep it updated at all times.

You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your Account. You must notify us without undue delay at support@investra.io if you become aware of any unauthorised use of your Account.

We may decline registration, or suspend or terminate an Account, where required to satisfy identity verification, sanctions screening or anti-money-laundering obligations, or where we reasonably suspect misuse of the Platform.

4. The Platform and Our Role

The Platform provides tools to discover, compare and transact in relation to real-estate opportunities across our Markets. Unless expressly stated otherwise, Investra acts as an intermediary and technology provider and is not a party to contracts concluded between users and third-party developers, sellers, agents or operators.

Information presented in Listings is supplied by third parties. While we apply reasonable verification procedures, we do not warrant the accuracy, completeness or current availability of any Listing, and nothing on the Platform constitutes a survey, valuation or legal due-diligence report.

5. Acceptable Use

You agree not to: (a) use the Platform for any unlawful purpose or in breach of applicable law in any Market; (b) post false, misleading or infringing content; (c) attempt to gain unauthorised access to any part of the Platform or its underlying systems; (d) scrape, harvest or systematically extract data other than through interfaces we expressly provide; or (e) interfere with the operation of the Platform, including by introducing malicious code.

We may remove content, restrict features or suspend Accounts that we reasonably believe violate this section, and we will inform the affected user of the reasons for the measure in accordance with Regulation (EU) 2022/2065 (Digital Services Act) where it applies.

6. Intellectual Property

The Platform, its design, software, databases, trade marks and Content created by Investra are protected by intellectual-property rights owned by or licensed to Investra. We grant you a limited, non-exclusive, non-transferable and revocable licence to use the Platform for its intended purpose.

You retain ownership of content you submit, and you grant Investra a worldwide, non-exclusive, royalty-free licence to host, reproduce and display that content to the extent necessary to operate and promote the Platform.

7. Fees and Payment

Browsing the Platform is free of charge. Specific services — such as reservation deposits, subscription features or partner placements — may carry fees which will be clearly disclosed before you commit to them. All fees are stated inclusive of applicable VAT unless indicated otherwise.

Payments are processed by licensed third-party payment providers. Investra does not store full payment card details on its own systems.

8. Third-Party Links and Services

The Platform may contain links to third-party websites and services, including financing providers, legal advisers and property managers. Such links are provided for convenience only, and we accept no responsibility for the content or practices of third parties. Your use of third-party services is at your own risk and subject to their terms.

9. Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we exclude all implied warranties, including of merchantability, fitness for a particular purpose and non-infringement.

Real-estate values can fall as well as rise. Nothing on the Platform constitutes investment, legal or tax advice; you should obtain independent professional advice appropriate to your circumstances and jurisdiction before entering into any transaction.

10. Limitation of Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded under applicable law, including mandatory consumer-protection law of your country of residence.

Subject to the foregoing, our aggregate liability to you arising out of or in connection with the Platform in any twelve-month period shall not exceed the greater of (a) the fees you paid to Investra in that period and (b) EUR 500. We are not liable for indirect or consequential loss, loss of profit, loss of opportunity or loss of data.

11. Suspension and Termination

You may close your Account at any time through your account settings. We may suspend or terminate your access with reasonable notice, or immediately where required by law or in the event of a serious breach of these Terms.

Termination does not affect accrued rights and obligations. Sections which by their nature should survive termination — including intellectual-property, liability and dispute-resolution provisions — will continue to apply.

12. Changes to These Terms

We may amend these Terms from time to time for legal, regulatory, security or operational reasons. We will give you at least 15 days' notice of material changes through the Platform or by email, unless a shorter period is required by law. Your continued use of the Platform after the effective date constitutes acceptance of the amended Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, without prejudice to mandatory consumer protections of the country in which you habitually reside. Consumers within the EU may bring proceedings in the courts of their member state of residence; for TRNC residents, local mandatory provisions remain unaffected.
